Terms of Service for Daily Manifestly

1. Acceptance of Terms

By downloading, opening, or using Daily Manifestly (the "App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the App. We reserve the right to update these Terms at any time. Your continued use constitutes acceptance of the changes.

2. Eligibility

You must be at least 13 years old (or the age of digital consent in your country) to use the App. If you are under 18, you represent that you have parental or guardian permission. We do not knowingly collect data from children under 13.

3. Account Registration

To access certain features, you may create an account using an email address or sign in via a third-party service (e.g., Apple, Google). You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately of unauthorized use.

4. User Content & License

You retain ownership of any text, affirmations, journal entries, goals, or other content you create or upload to the App ("User Content").

By submitting User Content, you grant Daily Manifestly a non-exclusive, royalty-free, worldwide license to host, store, and display your User Content solely to provide and improve the App’s functionality. We will not sell or share your User Content for marketing purposes without your explicit consent.

Prohibited Content: You may not upload content that is illegal, harassing, defamatory, obscene, or that infringes third-party rights. We reserve the right to remove any violating content without notice.

4a. AI-Powered Features & Third-Party Data Sharing

Daily Manifestly includes AI-powered features that send specific user data to third-party AI service providers (Google LLC via the Gemini API and OpenAI, L.L.C. via the DALL·E API) to generate personalized content. No data is sent until you provide explicit consent through a dedicated in-app consent screen.

AI-powered features include: AI Coach, Today's Intention, Manifest with AI (image generation), Dream Journal interpretation, Insights & Analytics, Monthly Report, Stepasaurus Chat, Soul Tribe AI, and Subliminal Affirmations. For a detailed breakdown of what data each feature sends and to whom, see our Privacy Policy — Section 3a.

Important:

• Your data is used solely to generate responses and images — it is never used to train AI models.
• You can revoke your consent at any time via Settings > Privacy & Security > AI Data Sharing.
• Revoking consent will immediately disable all AI features and prevent any further data transmission.
• AI features will use static fallback content when consent is not granted.

5. Subscription & Payments

Daily Manifestly may offer premium features via auto-renewing subscriptions or one-time purchases.

• Free Trial: If offered, trial periods convert to paid subscription unless you cancel at least 24 hours before the trial ends.
• Billing: Payments are charged to your iTunes/Google Play account upon confirmation of purchase.
• Renewal: Subscriptions renew automatically unless auto-renew is turned off at least 24 hours before the current period ends.
• Cancellation: You can cancel anytime via your app store account settings. No partial refunds for unused periods.
• Price Changes: We will notify you of price changes. Continued use after notice constitutes acceptance.

Refunds are handled by the app store (Apple App Store or Google Play Store) according to their policies.

6. Intellectual Property

All App content not provided by users – including graphics, logos, affirmations library, layouts, audio guides, and code – is owned by Daily Manifestly or its licensors and is protected by copyright and trademark laws. You may not copy, modify, reverse-engineer, or redistribute any part of the App without written permission.

7. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose.
• Attempt to gain unauthorized access to our systems.
• Interfere with the App’s operation (e.g., by introducing malware).
• Use the App to harass, abuse, or harm others.

8. No Medical or Therapeutic Claims

Daily Manifestly is a self-improvement and journaling tool. It is not a substitute for professional mental health treatment, medical advice, or therapy. If you are in crisis or have serious mental health concerns, contact a licensed professional or emergency services immediately. Relying on the App for clinical outcomes is at your own risk.

9. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT ALLOWED BY LAW, DAILY MANIFESTLY AND ITS DEVELOPERS, OFFICERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE APP, INCLUDING LOSS OF DATA, EMOTIONAL DISTRESS, OR FINANCIAL LOSS. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS (OR $50 IF YOU PAID NOTHING).

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so the above may not apply to you.

11. Termination

We may suspend or terminate your access at any time for violation of these Terms or for any reason effective upon notice. You may delete your account at any time via the App settings. Upon termination, your User Content may be deleted after a reasonable period.

12. Third-Party Links & Services

The App may integrate with third-party services (e.g., analytics, payment processors). We are not responsible for their practices. Your use of third-party services is subject to their terms.

13. Governing Law & Dispute Resolution

• Governing Law: These Terms are governed by the laws of Delaware, USA, without regard to conflict of law principles.
• Informal Resolution: Before filing a claim, you agree to contact us and attempt to resolve the dispute informally for 30 days.
• Mandatory Arbitration: Any dispute not resolved informally shall be resolved by binding arbitration under the rules of [AAA/JAMS] in Wilmington, Delaware, rather than in court. You waive the right to a jury trial or to participate in a class action.
• Exceptions: Either party may bring individual claims in small claims court or seek injunctive relief for IP infringement.

14. Data Privacy

Your use of the App is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information, including detailed disclosures about AI-powered feature data sharing.

15. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Daily Manifestly.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• No Waiver: Our failure to enforce a right does not waive that right.
• Assignment: We may assign these Terms in connection with a merger or sale of assets.
